Constitution
Article 1 Name
This organization shall be Green Mountain Rowing, hereafter known as GMR.
Article 2 Purpose
GMR is a non-profit organization that has been formed to:
To foster fellowship, recreation, and competition.
Teach rowing, maintain the waterways, and promote water safety to benefit the Greater Burlington community and Vermont.
Maintain affiliation with U.S. Rowing organizations.
Receive money and other property, real or mixed, by gift, bequest, dues, fundraising or other sources and to apply it to the purposes of the GMR.
No part of its activities shall include the participation in any campaign for any candidate for political office.
The club shall provide initial and advanced instruction and opportunities for competition.
Article 3 Membership
Anyone interested in rowing can become a member of GMR.
The club shall provide equal opportunity without discrimination due to gender, race, or creed for participation in its sport to all individuals who are eligible according to the GMR By-Laws.
Article 4 Meetings
Membership Meeting are defined in the GMR Bylaws.
Board of Directors meetings shall be held on a regular basis as defined in the bylaws.
Article 5 Voting
Each member will have one vote at any meeting of the club's members and such vote may be cast in person or by proxy. Officers and the Board of Directors shall be elected by mail-in ballot and write-in ballot at the fall membership meeting.
All other voting shall be done by voice.
Article 6 Board of Directors
Members shall elect the Board of Directors to conduct the clubs business. The duties and order of business of the Board of Directors is specified in the GMR Bylaws.
Article 7 Officers
The officers of this organization shall be as follows: President, Vice President, Secretary, and Treasurer. Officers will be elected annually.
Article 8 Compensation for Service
The Board of Directors shall determine compensation for services provided to the club.
Article 9 Dues
The dues of this organization shall be per year as set forth in the By-Laws.
Article 10 Amendments
Alterations and amendments to the Constitution may be recommended by a member or Board and voted on by the membership at a membership meeting or by mail in ballot.
Changes shall be proposed in writing and submitted to the Secretary for distribution to the club members prior to a membership meeting.
Amendments may be passed by 2/3's of the voting members.
Article 11 Dissolution
In the event of dissolution or termination of the organization, whether voluntary or involuntary or by operation of law, its property and assets, or any proceeds thereof, shall be dissolved by public auction and the proceeds applied to settle any debts or claims that are the obligation of the organization. The balance remaining money shall be distributed as determined by the Board.
