Constitution of the Vermont Classical Languages Association

Article I: Name

The name of this organization shall be Vermont Classical Languages Association.

Article II: Purpose

It shall be the purpose of this organization:

1. To encourage an active interest in Classics and in the teaching of Latin and Greek.

2. To provide a means for discussion and interchange of ideas pertaining to the study of Classics and the teaching of Classics.

Article III-Membership

Any teacher of Classics at any level or anyone interested int he purpose of the organization is eligible for membership.

Article IV-Officers

The officers of the organization shall be President and Secretary-Treasurer.

Article V-Meetings

There shall be at least one meeting of the organization each year.

Article VI-Dissolution

If, at any time, the organization shall cease to carry out its purpose as herein stated, all assets and property held by it, whether in trust or otherwise, shall, after payment of its liabilities, be paid over to an organization, selected by the final set of officers of the Association, which has similar purposes and has established its tax-exempt status under Section 501(c) (3) of the Internal Revenue Code of 1954 as now enacted or as it may hereafter be amended, and such assets and property shall be applied exclusively for such charitable and educational programs.

Aticle VII-Amendments

The procedure for amendment to this constitution shall be:

1. The introduction and discussion of a proposed amendment at a meeting of the membership of the Association.

2. Upon approval of a majority of the members voting, the proposed amendment shall be distributed in writing to all members of the Association at least two weeks before the Annual Meeting.

3. The amendment shall become effective immediately upon approval of the two-thirds majority of those members present at the Annual Meeting.

By-Laws of the Vermont Classical Languages Association

Article I-Membership and Dues

The dues for membership are $5.00. The fiscal year of the organization shall run from October 1 through September 30.

Article II-Officers

Section 1: The length of term of each office shall be one year.

Section 2. The officers shall be elected by a majority of the members voting at the Annual Meeting.

Article III-Executive Committee

Section 1. The executive board shall be empowered to make policy decisions and carry out the program planning for the VCLA and shall consist of the officers elected by the membership at the annual fall meeting and four or five more VCLA members from various areas of the state who agree to serve as representatives of the association at the local level to provide better state-wide communications and participation. The past president shall automatically be a member of the executive board.

Section 2. meeting will be held on a regular six to eight week basis at mutually convenient sites.

Section 3. A simple majority vote by the executive board at a regularly scheduled meeting shall be considered sufficient to carry a motion.
